Surprise Package
Client Service Agreement

Agreement is made between El-moor Communication Limited ® [RC: 1179721] owners of Surprise Package Nigeria ‘an online Marketing Gift Store’ and Product merchant hereby after referred to as client.

Where As,

Client is desirous of online promotion, marketing, sales and delivery of their product,
Service provider [Surprise package] is willing to provide such services to the Client upon the terms set out in this agreement.

This Term of Service govern your access to and use of our Services, including our websites, marketing services, branding, and brand name, application, ads, and general commerce services
Your access to make use of our Services is conditioned on your acceptance of and compliance with these Terms.
By accepting, accessing or using our Services; you agree to be bound by these Terms.

Surprise Package shall provide online marketing, promotion and delivery of Client’s products and shall bear the total cost attached.

Client shall not make any payment for registration, marketing and delivery expenses during the active period of this contract.

Surprise Package shall make payment to Clients’ choice of bank not later than 48hours after sales of product by means of Bank Transfer Only.
Client shall be responsible for the payment of all attached VAT on the sales of products.
Surprise Package shall issue a monthly Sales Report for reconciliation of the sales from Customers to the Client.

Client shall be responsible for the entire packaging of products items, however, Client shall Not attach contact details, website or contact address on the product package as product items shall assume Surprise Package’s branding on delivery.

Client is required to process all orders within 24 to 48 hours, products delayed for more than 72 hours may be summarily terminated.

Money may be refunded to the customer in the case of a refund.

Client shall not replicate Surprise Package website during the active period of the contract.
Surprise Package shall retain the image representation of the Client’s product online at the expiration of the contract.

Surprise Package may include other service and operational charges on product items at point of sales

Surprise Package shall market Clients product via all media; offline and online  on behalf of the client.

In the event that  Client  anticipates that any Goods sold on the Platform may go out of stock, the Client shall notify Surprise Package of same in writing  within 24 hours.

Client shall be required to maintain an update of all inventory via Client’s account profile and furnish Surprise Package with an update of all inventory via inventory@surprisepackage.com.ng on a daily basis. Each update shall be sent to Surprise Package before midday.


Client shall supply Surprise Package with new and original gift items only
The Client and Surprise Package shall mutually agree on the identity description and price of the Goods, which shall be sold on the Surprise Package’s Platform.

Client shall also make available to Surprise Package the Goods meant for display on the platform for assessment inspection purposes with details descriptions.

Surprise Package reserves the right to delist Client’s products if Client is deemed operationally incompetent or when goods sold no longer meet specification or requirements.

Surprise Package reserves the ultimate right to control the appearance of Client’s goods on the platform.

Client shall be totally responsible for the return and refund for customers’ dissatisfaction on the following cases:
Incorrect product
Delivery failures
False or incorrect  product description
Faulty Product

This agreement is binding and shall exist until either party wish to terminate it at 7 Business days of prior written notification.

Any dispute, controversy or claim whatsoever arising out of or relating to the Agreement shall be governed in accordance with the laws of the Federal Republic of Nigeria and the both Parties hereby submit to the exclusive jurisdiction of the courts in Nigeria.

Surprise Package reserves the right to amend all or any part of this contract in continuous mutual benefits for both parties.

Effective: June 1st, 2015
